General Terms of Sale
1. Purpose and scope
These Terms of Sale govern subscriptions to the paid plans of the DEPOSIUM® SaaS platform. They supplement the Terms of Use (use of the service) and the Privacy Policy (personal data). By subscribing to a paid plan, the customer accepts these Terms of Sale without reservation.
2. Identity of the parties
Service publisher: Technologie Sobriété Soutenable (TSS), cooperative SAS, ESS, mission-driven company, Montpellier Trade Register 952 919 827, 323 rue de l'Aiguelongue, 34090 Montpellier, France. Contact: [email protected].
Seller / collector: payment and invoicing are handled by Polar acting as Merchant of Record (reseller). As such, Polar is the legal seller of the transaction, issues the invoice and collects applicable taxes.
3. Service description and essential features
DEPOSIUM® is an AI-augmented document analysis platform (import, structured enrichment, hybrid indexing, natural-language querying via a knowledge graph and AI chat). The features of each plan (functionality, quotas, credits, limits) are described on the Pricing page and confirmed at payment.
4. Plans, prices and taxes
Plans and prices are those shown on the Pricing page on the order date. Prices are shown excluding tax; the final tax-inclusive amount is calculated and confirmed by Polar at payment, based on the customer's country. Any price change is notified to the customer at least 30 days before it takes effect, which occurs at the next renewal; a customer who refuses the new price may cancel free of charge before that date.
5. Free trial and contract formation
DEPOSIUM® offers a 7-day free trial of the application, with no credit card. The trial is not a subscription and triggers no charge. A paid subscription is formed when the customer selects a plan, explicitly confirms consent (mandatory checkbox), then completes payment via Polar. The contract is concluded upon payment confirmation.
6. Payment
Payment is immediate, handled by Polar (Merchant of Record) via its provider Stripe. No card data passes through DEPOSIUM®. For subscriptions, payment is recurring (monthly or annual) until cancellation. If a charge fails, access to paid features is suspended immediately.
7. Term, renewal and cancellation
The subscription is taken out for the chosen period (monthly or annual) and renews automatically for identical periods unless cancelled (art. L215-1 of the French Consumer Code). The consumer is informed, at the earliest 3 months and at the latest 1 month before the term, of the option not to renew. The customer may cancel at any time from their account area; cancellation stops the subscription, allows deletion of the account and associated data, and takes effect at the end of the current period, with no pro-rata refund except where mandatory law applies.
8. Right of withdrawal
The consumer has a 14-day withdrawal period, subject to the waiver applicable to digital services performed immediately. See the Right of withdrawal section.
9. Refunds
Refund terms are set out in the Refund Policy section. Resources already consumed may be deducted or non-refundable. Any refunds are processed by Polar.
10. Availability and service levels
The service is provided "as is" and subject to availability. In the event of unavailability due to a third-party subprocessor, any unfinished analysis is neither counted nor charged. The standard SaaS plan is provided without a service-level agreement (SLA); dedicated or on-premise deployments are covered by a separate contract.
11. Personal data and subprocessing
Data processing is described in the Privacy Policy, which details hosting, inference operators and transfers. For business customers, a Data Processing Agreement (DPA) is available on request. At the end of the contract, data is returnable and deleted in accordance with the Privacy Policy.
12. AI-generated service
Results produced by DEPOSIUM® are generated by AI systems (RAG) and provided as assistance; they may contain inaccuracies and do not constitute professional advice. The customer is responsible for verifying results before any decision-making use.
13. Intellectual property
Imported content and analysis results remain the customer's property. DEPOSIUM® and its components remain the property of TSS (see Terms of Use, Intellectual property section).
14. Consumer mediation
In accordance with art. L611-1 et seq. of the French Consumer Code, after first contacting our customer service ([email protected]) and absent a satisfactory response within two months, the consumer may refer the matter free of charge to the consumer mediator: CM2C (Centre de la Médiation de la Consommation de Conciliateurs de Justice), 49 rue de Ponthieu, 75008 Paris — cm2c.net (file a dispute online: cm2c.net/declarer-un-litige).
15. Complaints and support
Any complaint may be sent to [email protected] or via chat. Optional community support is available via Discord.
16. Changes to the Terms of Sale
The applicable version is the one in force at subscription or renewal. Customers are informed of substantial changes; continued use after renewal constitutes acceptance.
17. Severability
The invalidity of any clause does not affect the validity of the other provisions.
18. Applicable law and jurisdiction
These Terms of Sale are governed by French law. For businesses, the courts of Montpellier have jurisdiction. The consumer may, at their option, bring proceedings before the court of their domicile or that of the defendant.
19. Contact
Technologie Sobriété Soutenable (TSS), 323 rue de l'Aiguelongue, 34090 Montpellier — [email protected].
Right of withdrawal
1. Principle
In accordance with art. L221-18 et seq. of the French Consumer Code, the consumer has a 14-day period from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons.
2. Exception — digital service performed immediately
DEPOSIUM® is provided immediately and incrementally (credits, processing, indexing, agents). To enable immediate access, you are asked, before payment, to expressly request immediate performance of the service and to acknowledge the loss of your right of withdrawal for services performed and resources consumed (art. L221-28 13° and L221-25). This consent is collected via a dedicated checkbox, timestamped and archived.
3. What remains withdrawable
If you have consumed no resources, you may withdraw within 14 days and obtain a full refund. In the event of partial performance, only the amount corresponding to the resources actually consumed remains due.
4. How to exercise
Send your request to [email protected] before the period expires. Any refund is processed by Polar to the original payment method within 14 days maximum.
5. Model withdrawal form
To TSS – DEPOSIUM® ([email protected]): I hereby notify you of my withdrawal from the following subscription contract: … — Ordered on: … — Name: … — Account email: … — Date: …
6. Business customers
The right of withdrawal is a consumer right; it does not apply to professionals, except as legally provided (a professional with 5 employees or fewer subscribing outside their main field of activity).
Refund Policy
1. Payment and invoicing
Payments are handled by Polar (Merchant of Record), which confirms the final amount and taxes at payment and issues the invoice. Any refund is processed by Polar to the original payment method.
2. Consumed resources
Credits, AI calls, indexing, agent processing or other resources consumed after activation may be deducted from any refund or be non-refundable.
3. Subscriptions
Cancellation of a subscription takes effect at the end of the current period (monthly or annual). Except where mandatory law applies, no pro-rata refund is made for the period started; access is maintained until the paid term ends.
4. Withdrawal (14 days)
In the event of a valid withdrawal (see Right of withdrawal), amounts corresponding to services not performed are refunded within 14 days maximum.
5. Credits and top-ups
Purchased credits (top-ups) are non-refundable, whether consumed or not, and remain usable until they expire (monthly carry-over, 1-year validity). At purchase, you request their immediate availability and waive your right of withdrawal on these credits. Consumed credits, having incurred a cost with our inference providers, can in no case be refunded.
6. Service disruption
In the event of unavailability due to a third-party subprocessor, any unfinished analysis is neither counted nor charged.
